Basic approach

The Fuji Oil Group considers that, in addition to complying with laws, regulations, and internal rules in the course of daily business activities, it is essential to act with a high sense of ethics in order to respond to the expectations and demands of society, including our stakeholders. The fundamental approach to compliance is incorporated into the Fuji Oil Group Management Philosophy, which was established in October 2015.
Furthermore, in order to clarify specific actions for putting this approach into practice, we have established the Fuji Oil Group Three Principles of Code of Conduct, which all Group employees are expected to follow.

Fuji Oil Group Three Principles of Code of Conduct

1.Comply with the rules
We will comply with all applicable laws and regulations in each country and region where we operate.
We will act in accordance with the rules and regulations established by the Company.
We will observe social norms and respond to the expectations and trust of society.
2.Act with integrity
We will act in accordance with our conscience.
We will not conceal mistakes or failures.
We will report and explain matters based on facts in a timely and appropriate manner.
3.Conduct fair business
We will conduct fair and appropriate business transactions.
We will clearly distinguish between business and personal matters and will not engage in any dishonest conduct.
We will respect the human rights of all people involved in our business activities and give due consideration to diversity, including race, gender, and religion.
We will not engage in any acts of coercion or bribery.
We will not allow intervention by antisocial forces.

Promotion system

The Legal Affairs Division of FUJI OIL CO., LTD. is engaged in planning and implementing various measures to strengthen the compliance framework throughout the Group and promote compliance awareness. Based on reports from the Legal Affairs Division, the Management Committee reviews compliance initiatives, and the Board of Directors supervises their implementation.

Education

Business Conduct Guidelines

We have established the Fuji Oil Group Business Conduct Guidelines, which explain the principles of action under the Fuji Oil Group Management Philosophy through typical cases encountered in daily business activities, and we promote awareness and understanding among employees. The guidelines are available in multiple languages.

Compliance training

In order to provide appropriate compliance education tailored to specific roles, departments, and compliance-related issues, the Legal Affairs Division works in cooperation with the Human Resources Division and other relevant departments to systematize compliance training. Global e-learning programs (in multiple languages) and group training sessions are conducted to raise awareness of key compliance areas.

Whistleblowing system

We have established the Fuji Oil Whistleblowing Hotline for officers and employees of the Group in Japan, including non-regular and temporary staff, to seek consultation or report actual or potential violations of laws and regulations or other misconduct. To ensure confidentiality and anonymity, and to enhance transparency in the reporting process and create an environment the encourages reporting, the hotline is outsourced to an external law firm. For the overseas Group companies, the Fuji Oil Group Compliance Helpline is available.
FUJI OIL CO., LTD.’s Whistleblowing Regulations prohibit unfair treatment on the ground of whistleblowing, and provide that any person who engages in such conduct may be subject to disciplinary measures in accordance with the company’s work rules and other applicable regulations. In addition, to ensure the effectiveness of the whistleblowing system, we continuously promote understanding of the system and improve its operation.

Tax Governance

We recognize that compliance with the tax laws and regulations of the society is a corporate social responsibility that should be carried out high ethical standards in accordance with the “Fuji Oil Group Management Philosophy”.
With the Chief Financial Officer (CFO) as the ultimately responsible, we establish a tax governance structure to promote compliance with tax laws and regulations, ensure appropriate tax risk management, and optimizing tax payments by each group company by defining roles and responsibilities related to group’s tax operations for the entire group in the Internal Group Tax Policy.
In addition, we inform and monitor group companies to ensure whether this governance structure is properly maintained and implemented and work toward the sustainable improvement of corporate value.
The basic idea related to the tax operations of the Fuji Oil Group, including these activities, is presented to our stakeholders in the “FUJI OIL GROUP Tax Policy”.

Corruption Prevention

In addition to comply with the Antimonopoly Law, the prevention of bribery and corruption is one of our priority compliance areas related to fair transactions. We set global anti-bribery and corruption rules, and we actively raise awareness of anti-bribery and corruption among employees. To systematize compliance activities, we also established departments dedicated to raise awareness on anti-bribery and corruption.
These departments conduct yearly trainings on corruption prevention.

Political contributions

The Fuji Oil Group does not make political donations.
